These Terms of Service ("Terms") are a contract between you, the business that opens a store ("you", the "Merchant"), and Origela ("Origela", "we", "us"). They cover the Origela hosted e-commerce platform, the website https://origela.com/ and related services (together, the "Service"). The Privacy Policy, the Data Processing Agreement, the Acceptable Use Policy and the Refund Policy are part of these Terms.
Key terms: please read before you accept
The following provisions may work to your disadvantage and are specifically brought to your attention, including under article 21 of the Turkish Code of Obligations No. 6098. By ticking the acceptance box at signup you confirm that you have read, understood and separately accepted them:
- Liability cap (section 12): Origela's total liability is limited to the fees you actually paid in the last 12 months and in any case to no more than one annual subscription fee (currently $99). Your sole remedy is a refund of that fee and termination of the contract.
- Security incidents and third-party failures (sections 10, 12, 18): to the extent permitted by law, we are not liable for loss caused by hacking, unauthorised access, data theft, malware, denial-of-service (DDoS) attacks or failures of hosting, DNS, network, email or payment providers.
- Indirect loss (section 12): we are not liable for indirect loss such as loss of profit, revenue, sales, data or reputation, or business interruption.
- Your responsibility and indemnity (sections 9, 14): you alone are responsible for your store, products, sales, taxes and your customers' personal data. You pay every claim, lawsuit, fine and cost (including legal fees) brought against Origela because of them.
- Backups (section 10): keeping your own backups is your obligation; our backups are kept on a best-effort basis without guarantee.
- Suspension and deletion (sections 15, 16): we may suspend the store immediately for a breach, non-payment or a security risk; no refund is due for suspension or termination because of your breach. Data is deleted permanently 60 days after the end.
- Evidence, jurisdiction and language (sections 1, 20, 21): our system records are conclusive evidence; Turkish law applies and the courts and enforcement offices of İstanbul (Central) have jurisdiction; if the language versions differ, the Turkish version prevails.
1. Acceptance and electronic record
- You accept these Terms by ticking the acceptance box at signup and submitting the form, or by paying for or using the Service. If you accept for a company or other organisation, you confirm that you are authorised to bind it; if you are not, you are personally liable for the resulting loss.
- We keep an electronic record of your acceptance: the date and time, the IP address, the account email and the version of the Terms you accepted. As an evidence agreement within the meaning of article 193 of the Turkish Code of Civil Procedure No. 6100, the parties agree that Origela's acceptance record, server and system logs, payment records and email correspondence are conclusive evidence of the conclusion, content and performance of the contract.
- The current version of these Terms is always available on this page. You can save or print it at any time. On request we email you the version you accepted.
2. Business customers only
The Service is offered only to businesses, traders and professionals who open an online store for their commercial or professional activity. It is not offered to consumers. By signing up you confirm that you are acting for purposes related to your trade, business or profession, and that you are at least 18 years old. This confirmation is an essential term of the contract: Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation, including the right of withdrawal, therefore do not apply to the contract between us. If we learn that the confirmation is untrue, we may terminate the contract and end the relationship by refunding the fee you paid; you bear any loss caused by the untrue confirmation. If mandatory law nevertheless treats you as a consumer, the rights that law gives you remain unaffected (see section 20).
3. The Service and our role
- Origela provides software as a service for running an online store: storefront themes, an administration panel, hosting on our servers, SSL, updates, best-effort backups and the features described on our website at the time. Each store runs on its own database.
- We are a technical service and hosting provider only. For the content of your store we act as a hosting provider ("yer sağlayıcı" under Turkish Law No. 5651) and, in the EU, provide a hosting service under the Digital Services Act. We do not operate a marketplace; each store is the Merchant's own website on its own domain. To the extent Turkish E-Commerce Law No. 6563 treats us as an intermediary service provider, we have no obligation to monitor store content or to investigate unlawfulness (Law No. 6563 art. 9; Law No. 5651 art. 5).
- We do not choose, check, buy, sell, store or ship your products, we do not set your prices, and we are not a party, intermediary, agent or guarantor of any contract between you and your customers.
- We may improve, change, suspend or retire the Service and individual features. We will not remove core functionality (storefront, product management, order intake, administration panel) during a paid period without reasonable notice; if we permanently remove core functionality, you may terminate the contract and receive a pro-rata refund of the unused period.
4. Account, domain and access security
- Give accurate signup and billing details and keep them up to date, including a working email address. We send all notices to that address.
- You are responsible for your login details, for everything done under your account and your staff accounts (including by unauthorised persons, unless this is caused by our intent or gross negligence), and for keeping your own devices and email account secure. Use strong, unique passwords, enable two-factor authentication for every staff account, give staff only the roles they need, and remove access you no longer need.
- You are responsible for the API keys and credentials you enter for third-party services (payment, shipping, AI and others), and for revoking them if they may have been exposed.
- Your store runs on a domain that you register and own. We do not register, renew or manage domains. You remain responsible for the domain's registration, renewal and DNS, including the records we ask you to add.
- Tell us without delay at hello@origela.com if you suspect unauthorised access to your account.
5. Price, payment and renewal
- The subscription runs for one year and is paid in advance. The current price is shown on the pricing page (launch price $99 per year). Taxes are added where they apply.
- You pay using the methods offered to you at signup: bank transfer or Wise, in US dollars, euros or Turkish lira, to the account details we give you, or, where offered, an online payment provider. For online payments the transaction is handled by the payment provider; if the provider acts as an authorised reseller selling in its own name, this is shown to you at checkout, it may issue the invoice, and its terms also apply to the purchase. Card details are processed by the payment provider; Origela does not receive your card number.
- Setup starts only after the full amount has been received. Fees charged by your bank, intermediary banks or your payment provider are borne by you. You may not set off payments against any claim you have.
- Renewal. Subscriptions paid by bank transfer or Wise do not renew and are not charged automatically; before the end of the year we email you a renewal notice with the amount due. If you pay with an online method where automatic renewal is clearly shown at checkout, the subscription renews each year with the same method and the renewal price at that time is charged unless you cancel before the renewal date; we try to send a reminder email before the renewal, but a reminder that does not reach you does not affect the renewal or your obligation to pay.
- If payment is not made by the end of the paid year, we may give a grace period (currently 7 days); after that the store may be suspended (section 15).
- If we change the price for renewals, we tell you by email at least 30 days before your renewal date. If you do not accept the new price, cancel before the renewal date; paying the renewal or not cancelling an automatic renewal means you accept the new price. A price change never affects a year you have already paid.
- Payment disputes. Before disputing a payment with your bank or payment provider (chargeback), you must write to hello@origela.com so that we can resolve the issue. In case of an unjustified dispute we may suspend the store and pass on the costs of the dispute to you.
6. Fair use and plan limits
The subscription includes hosting on our servers with up to 2,000 products and 10 GB of storage for images and files; orders and staff accounts are unlimited within reasonable use. Larger catalogues are available on request with a custom quote. The Service may not be used for general file hosting or in a way that harms the performance or security of the platform or of other customers. If a store goes beyond these limits, we normally contact you first and propose a solution; if no solution is found within 14 days, we may limit resource use or terminate the contract with a pro-rata refund of the unused period. In an emergency affecting the platform we may act immediately. Details are in the Acceptable Use Policy.
7. Your content and data
- You keep all rights to the content you upload (products, images, texts) and to your store data. You give us the limited, non-exclusive licence needed to host, back up, display, transmit and otherwise process it for the purpose of providing the Service.
- You represent and warrant that you hold all rights and permissions needed for your content, and that it does not infringe the rights of others or break the law.
- We do not monitor store content in general and have no obligation to do so. If we receive a notice that content is unlawful, or a request from a competent authority, we may remove or disable access to that content or the store without prior notice, and we will inform you where the law allows. We are not liable to you for doing so.
- For personal data of your customers you are the data controller and we are your processor, as set out in the Data Processing Agreement. For your own account and billing data we are the controller, as set out in the Privacy Policy.
8. Third-party services
The Service relies on third-party infrastructure such as hosting, data centres, network and security services (for example DNS and content delivery), email delivery and payment. Payment providers, AI providers, analytics, advertising, marketplaces and shipping services that you connect to your store are also provided by third parties under their own terms; you sign up with them directly, their fees are charged by them, and the relationship is between you and them. We are not responsible for the availability, outages, security, decisions or fees of these third-party services, for example a provider refusing, holding or reversing a payment. Origela does not store your customers' card numbers; card payments are processed by your payment provider.
9. You are the seller: your responsibility for your store
You are the seller of record for every sale made through your store and you run your store as an independent business. You alone are responsible, towards your customers, authorities and any third party, for:
- your products and services: their legality, quality, safety, labelling, conformity, warranties and any recall, including product safety rules (for example Law No. 7223 in Türkiye and the EU General Product Safety Regulation);
- your listings, descriptions, images, prices, discounts, advertising and reviews, and the content generated with AI tools that you choose to publish;
- taxes (including VAT), invoices and e-invoices, e-archive, accounting and customs for your sales;
- payment, delivery, shipping, returns, refunds, exchanges, payment disputes (chargebacks) and customer service;
- consumer-protection and distance-selling obligations, such as pre-contract information, the distance sales contract, the right of withdrawal and the required legal pages of your store (for example Law No. 6502 and the Distance Contracts Regulation (Mesafeli Sözleşmeler Yönetmeliği) in Türkiye, and the EU Consumer Rights Directive), and e-commerce obligations such as registration with ETBİS and İYS where they apply to you; ready-made texts and templates offered in the Service are examples only, not legal advice, and you check whether they are suitable;
- intellectual property rights in your content, brands and products;
- any permits, licences, registrations or age checks your business or products require;
- your customers' personal data, as data controller (Turkish Law No. 6698 (KVKK) and GDPR): privacy notices, consents, commercial-message permissions, VERBİS registration, answering data subject requests and notifying breaches to authorities and data subjects;
- compliance with the Acceptable Use Policy and with all laws that apply to your business and to the countries you sell to.
Your customers have no claim against Origela arising from their purchases from you, and these Terms give them no rights. You will not present Origela as the seller, as a guarantor of your products or as a party to your sales.
10. Security and security incidents
- What we do. We take technical and organisational measures that we consider reasonable for the nature and price of the Service. These may include, for example, a separate database for each store, encrypted connections (TLS), encrypted storage of secrets, role-based access and two-factor authentication, a web application firewall through our network provider, and security updates; details are in the Data Processing Agreement and may change as technology evolves.
- What we cannot promise. No system connected to the internet is completely secure. We do not guarantee that the Service will be uninterrupted, error-free or free from security breaches, or that data will never be lost, corrupted, altered or accessed without authorisation.
- Third-party attacks and provider failures. Security incidents caused by third parties, such as hacking, unauthorised access, data theft, malware, ransomware or denial-of-service (DDoS) attacks, and failures of hosting, data-centre, DNS, network, security, email or payment providers, are not a breach of our obligations, unless caused by our intent or gross negligence, and we are not liable for the resulting loss. Wherever this provision is held invalid, our liability is limited as set out in section 12.
- What you do. You are responsible for the security of your account and staff accounts (section 4), for the security of the services and devices you use, and for regularly making and keeping your own up-to-date copies of your store data using the export tools. Our backups are kept on a best-effort basis to restore the platform after a failure; they are not a substitute for your own copies, and we do not guarantee any backup frequency or that any particular backup can be restored completely.
- If an incident happens. If we become aware of a personal data breach affecting your store, we inform you without undue delay, as described in the Data Processing Agreement, take reasonable steps to contain it and give you reasonable support in meeting your own obligations. A notification is not an admission of fault or liability.
11. Service provided "as is"; no warranty
The Service is provided "as is" and "as available". To the extent permitted by law, we make no warranties or representations, express or implied, including about merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, accuracy of content (including content generated by AI tools), search engine rankings, sales results, or compatibility with third-party services. You decide whether the Service meets your needs.
Availability. We use best efforts to keep the Service available, but no uptime, service level or service credit is committed unless agreed separately in writing and signed by us. We may interrupt the Service temporarily for maintenance, updates or security reasons; planned maintenance is announced in advance where possible. Support is provided by email in English and Turkish, without a guaranteed response time.
12. Limitation of liability
This section applies to the maximum extent permitted by law and is subject to the exceptions in section 13.
- Cap. Our total aggregate liability arising out of or in connection with the Service, these Terms and the documents that form part of them (including the Data Processing Agreement), for all claims together and on any legal basis (contract, tort, unjust enrichment, statute or otherwise), is limited to the subscription fees you actually paid to us in the 12 months before the event giving rise to the claim, and in any case to no more than one annual subscription fee (currently $99).
- Sole remedy. Payment of that amount as a refund, together with your right to terminate the contract, is your sole and exclusive remedy and fully settles any claim covered by this section.
- Slight negligence and auxiliary persons. To the extent permitted by articles 115 and 116 of the Turkish Code of Obligations, our liability for slight negligence and for the acts of our auxiliary persons (including employees, contractors, hosting, data-centre, DNS, network, security, email and payment providers and sub-processors) is excluded. Where this exclusion is not valid, and for the liability for sub-processors that data protection law requires, the cap above applies.
- Excluded losses. We are not liable for indirect or consequential loss; loss of profit, revenue, sales or business opportunity; business interruption; loss or corruption of data or the cost of restoring it; loss of goodwill or reputation; costs of substitute services; or claims of your customers or other third parties against you or fines imposed on you.
- Events covered. This section applies in particular to claims arising from security incidents, hacking, unauthorised access, data theft, malware, denial-of-service attacks, downtime, data loss, errors in the software, failures of third-party services (hosting, DNS, content delivery and security network, payment providers, email) and force majeure.
- Notice of claims. If you have a claim against us, you must notify it in writing to hello@origela.com within 90 days of becoming aware of the event giving rise to it, so that we can limit the loss (including under article 18(3) of the Turkish Commercial Code). This notice requirement does not shorten statutory limitation periods (article 148 of the Turkish Code of Obligations), but we are not liable for any increase in loss caused by late notice.
- The cap and the exclusions reflect the low price of the Service and were taken into account in setting it; without them the price would be much higher.
13. What these Terms do not limit
Nothing in these Terms excludes or limits liability that the applicable law does not allow to be excluded or limited, in particular: liability for wilful misconduct (intent) or gross negligence (article 115(1) of the Turkish Code of Obligations No. 6098); liability for death or personal injury; liability for fraud; and rights that mandatory consumer or data protection law gives you or third parties. For all other liability, the cap and exclusions in sections 10 and 12 apply in full. If a limitation is found to be unenforceable in a particular case, only that part is invalid and the limitation continues to apply to the fullest extent the law allows.
14. Your obligation to protect Origela from loss (indemnity)
This section works in one direction only: Origela does not pay you anything under it; you pay for the loss.
- The Merchant pays all claims, lawsuits, enforcement proceedings, administrative fines, penalties, damages and costs (including legal fees, court costs and expert fees) brought against Origela, its owners, directors, employees and contractors, and holds them harmless from these, where they arise from (a) the Merchant's store, products and services, content, listings and advertising; (b) its sales, deliveries, shipping, returns and refunds, payment disputes (chargebacks) and customer relations; (c) its tax, VAT, invoicing and e-invoicing obligations; (d) its obligations under Law No. 6502, the Distance Contracts Regulation, the right of withdrawal and other consumer and e-commerce law; (e) its obligations as data controller under KVKK, GDPR and other data protection law; (f) infringement of intellectual property or other third-party rights; (g) illegal or prohibited goods; (h) a breach of these Terms, the Data Processing Agreement or the Acceptable Use Policy; or (i) acts of its staff or of anyone using its account.
- If Origela has to make a payment because of such a claim, you reimburse the amount paid within 10 days of our first written request.
- Origela controls the defence. We tell you about the claim within a reasonable time; we may conduct the defence with a lawyer of our choice at your cost, or ask you to take it over. You cooperate reasonably in the defence and may not settle on behalf of Origela or make any admission binding Origela without our written consent. We will not make a settlement that admits fault on your behalf without consulting you.
- This obligation does not apply to the extent that the claim against Origela results from Origela's own intent or gross negligence, and it survives the end of the contract.
15. Suspension and termination
- We may suspend the store or account, fully or partly, immediately and without prior notice where needed, if: a payment is overdue after the grace period; you breach these Terms or the Acceptable Use Policy; the store creates a security risk that endangers the platform, data, other customers or third parties; a payment is disputed without justification; or a court, prosecutor or competent authority requests it or there is a suspicion of unlawfulness. Where reasonable, we warn you first and give you time to fix the issue. During a suspension the storefront may show a maintenance page and the panel may be limited to payment and data export.
- No paid fees are refunded, and the subscription is not extended, for a suspension or termination caused by your breach or non-payment.
- You may cancel at any time by writing to hello@origela.com or through the link in your billing emails. The subscription then ends at the end of the paid year, any automatic renewal stops, and no further payment is due. Refunds are covered by the Refund Policy.
- We may terminate the contract for serious cause (including a serious or repeated breach, or a reason for suspension not remedied within 30 days) with immediate effect and without refund, or for any other reason with at least 30 days' notice and a pro-rata refund of the unused part of the paid year.
16. Data export and deletion after the end
You can export orders, customers and products at any time while the store is active or suspended (except where access must be restricted because of unlawfulness or a request from a competent authority). When the subscription ends or the store is suspended, we keep the store and its data for 60 days from that date so that you can renew or request a full export. After that period the store and its data are deleted permanently and cannot be restored; backups are overwritten in their normal rotation. It is your responsibility to export your data within that period. Records we must keep by law (for example invoices) are kept for the period the law requires.
17. Intellectual property
The Origela software, themes, designs, documentation and brand remain our property or that of our licensors. The subscription gives you a non-exclusive, non-transferable, non-sublicensable right to use the Service for your own store during the paid period, not a copy of the software. You may not copy, resell, sub-license, reverse engineer or attempt to access without authorisation the source code or servers of the Service, except as the law expressly allows. Suggestions you send us may be used freely and free of charge.
18. Force majeure
We are not responsible for failure or delay caused by events beyond our reasonable control, such as natural disasters, epidemics, war, terrorism, riots, strikes, government actions and access blocks, power or internet outages, failures or discontinuation of data-centre, hosting, DNS, network, security, email, payment or other infrastructure providers, and cyber attacks including hacking and denial-of-service attacks. Our obligations are suspended for as long as the event lasts. If the event lasts more than 60 days, either party may terminate the contract; in that case the unused part of the paid year is refunded pro rata and no other claim arises.
19. Changes to these Terms
We may update these Terms, for example because of changes in the law or in the Service. We notify material changes by email at least 30 days before they take effect. If you do not agree, you may cancel before the change takes effect and receive a pro-rata refund of the unused part of the paid year; this is your sole remedy for the change. If you continue to use the Service after that date, the new Terms apply. Changes required by law or by authorities, changes necessary for security, or changes that are purely to your benefit may take effect sooner.
20. Governing law and disputes
- These Terms are governed by the laws of the Republic of Türkiye, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.
- We will first try to resolve any dispute amicably; please contact us at hello@origela.com. Where mandatory mediation applies under Turkish law, it is carried out before court proceedings.
- To the extent the parties are traders or public legal entities (article 17 of the Turkish Code of Civil Procedure No. 6100), and for contracts with a foreign element (article 47 of the Turkish Private International Law Act No. 5718), the courts and enforcement offices of İstanbul (Central) have exclusive jurisdiction. Where the choice of court is not valid, the statutory rules on jurisdiction apply.
- If, despite section 2, mandatory law treats you as a consumer, you keep the mandatory protection of the law of your country of residence and the right to bring proceedings before the courts or consumer bodies that law designates.
21. General
- Entire agreement. These Terms, with the documents named at the top, are the entire agreement between us about the Service and replace all prior discussions, offers and correspondence. Marketing statements on our website are not commitments. Any separate written agreement signed by us prevails where it expressly says so. Your own purchasing conditions or general terms do not apply.
- Severability. If a provision or part of a provision is invalid or unenforceable, the rest remains in force; the invalid provision applies to the fullest extent the law allows and, where needed, is completed by a valid provision that comes as close as possible to its purpose (article 27(2) of the Turkish Code of Obligations).
- No waiver. If we do not enforce a right at once, we do not give it up.
- Assignment. You may not transfer the contract without our written consent. We may transfer the contract, or our rights and receivables under it, to a company that takes over the Service or to our group companies without your consent, and we will tell you if that happens.
- Independent parties. The parties are independent; these Terms do not create a partnership, agency, representation or employment relationship and give no rights to third parties.
- Notices. We send notices to your account email or your administration panel; you send them to hello@origela.com. Email notices count as received on the day they are sent, unless we receive a delivery failure. You bear the consequences of an out-of-date email address.
- Survival. Sections 9, 10, 12, 13, 14, 16, 17, 20 and 21 survive the end of the contract.
- Language. These Terms are available in Turkish and English. If the versions differ or conflict, the Turkish version prevails.
